SoftBank borrows $40b, raising OpenAI IPO prospects

SoftBank said it has secured a new US$40 billion loan to help fund its US$30 billion commitment to OpenAI as part of the AI company’s reported US$110 billion fundraising round.

The reports said that the loan is unsecured and has a 12-month term, meaning it must be repaid or refinanced by next year and provided by JPMorgan Chase, Goldman Sachs, and four Japanese banks.

Some media outlets have reported that OpenAI could pursue a public listing later this year, which could help SoftBank refinance or repay the debt, while SoftBank said its latest investment brings its total bet on OpenAI to more than US$60 billion.

🧠 Food for thought

Implications, context, and why it matters.

SoftBank’s larger OpenAI commitment was tied to a restructuring requirement

  • SoftBank Group Corp. linked a larger OpenAI investment to OpenAI meeting funding terms by the end of 2025, or in some cases early 2026. Those terms include a recapitalization of its economic waterfall, which sets how proceeds flow to investors and stakeholders 1.
  • A prior deal set two outcomes for SoftBank’s check size. It could reach US$30 billion if the conditions were met, or fall to US$10 billion if they were not 1.
  • SoftBank framed the requirement as a way to back OpenAI’s growth and fit possible go-public mechanics. That includes automatic conversion tied to an initial public offering (IPO) / go-public transaction. It did not describe the change as a shift to a “full for-profit company” 1.
  • SoftBank said that after the follow-on investment announced on Feb. 27, 2026, its total investment is expected to be US$64.6 billion. That would equal about 13% ownership 2.

The 12-month unsecured loan raises refinancing pressure, while an OpenAI IPO remains optional

  • SoftBank said it secured a new US$40 billion loan to help fund its US$30 billion OpenAI commitment. The facility is unsecured and runs for 12 months, so it must be repaid or refinanced by next year.
  • The follow-on investment still depends on standard closing conditions. SoftBank said it expects to use bridge loans at first, then replace that funding over time through existing assets plus other financing measures 2.
  • Some media outlets reported that OpenAI could pursue a public listing later this year. That outcome could make it easier for SoftBank to refinance or repay the debt.
  • Reports suggest this round could value OpenAI at about US$830 billion 3.
