Zuckerberg says he weighed Instagram spin-off in 2018

Mark Zuckerberg, CEO of Meta Platforms Inc., testified in the US Federal Trade Commission’s (FTC) antitrust trial that he considered separating Instagram into a standalone company in 2018.

This idea arose as concerns increased that Instagram’s success was negatively affecting Facebook’s core social network.

Zuckerberg noted that the potential separation could help address political and regulatory challenges.

In a May 2018 email to senior leaders, he mentioned that spinning off Instagram could reduce coordination issues between the apps.

This would also help prevent Instagram’s growth from coming at Facebook’s expense.

The FTC alleges that Meta’s acquisitions of Instagram and WhatsApp in 2012 and 2014, respectively, contributed to the establishment of a monopoly in social networking.

🧠 Food for thought

1️⃣ Corporate spin-offs have strategic value beyond regulatory concerns

Zuckerberg’s consideration of spinning off Instagram aligns with a long history of strategic corporate separations that create value for both entities.

For example, when Northrop Grumman spun off Huntington Ingalls Industries in 2011, it was structured to allow both companies to focus on their core competencies—aerospace/defense systems for Northrop and shipbuilding for Huntington Ingalls1.

Similar to Zuckerberg’s concerns about the “strategy tax” of coordinating Facebook and Instagram, PayPal’s spin-off from eBay in 2015 allowed both companies to shed coordination costs and pursue separate growth strategies tailored to their specific markets2.

The “conglomerate discount” phenomenon, where diversified companies are valued less than the sum of their parts, often drives these decisions, as seen in cases like Time Warner’s spin-off of AOL in 2009 which unlocked value for shareholders after their troubled merger3.

Data shows that well-executed spin-offs often benefit shareholders through improved operational focus and elimination of internal competition for resources, aligning with Zuckerberg’s goal to stop “artificially growing Instagram in a way that undermines the Facebook network.”

2️⃣ Legal precedents shape the future of tech industry structure

Zuckerberg’s concern about Meta potentially being broken up within 5-10 years reflects a broader shift in antitrust enforcement that has been building for years.
