VinFast plans $505m asset sale to founder-led group

Vietnamese EV maker VinFast plans to sell its local manufacturing assets for about 13.3 trillion dong (US$505.2 million) to a buyer group led by founder and CEO Pham Nhat Vuong.

The company seeks to shift to an asset-light model, according to a May 12 filing.

The company said it will transfer manufacturing assets from subsidiary VinFast Trading and Production JSC and keep its R&D, sales, and after-sales business units.

Separately, the divested unit continues making VinFast vehicles under a manufacturing agreement.

The deal is expected to close in the third quarter of 2026 pending shareholder and creditor approval.

VinFast reported a US$1.34 billion net loss in the fourth quarter, which was 15% higher than a year earlier.

Last August, it also agreed to spin off R&D unit Novatech to Vuong for about 39.8 trillion dong, or US$1.51 billion.

🧠 Food for thought

Implications, context, and why it matters.

This deal resets the company’s structure

  • The sale supports an “asset-light” model, moving capital-heavy manufacturing assets off the listed company’s balance sheet 1.
  • That matters for a Nasdaq-listed business, since investors often worry about cash burn and large spending on factories and equipment.
  • Because founder Pham Nhat Vuong is the buyer, VinFast can keep production tied to its plans while moving factory ownership costs away from the public company.

More cash for expansion brings new risk

  • The restructuring could free capital for overseas growth. VinFast has already expanded its dealer network in India, Indonesia, and the United States 2.
  • Without those assets, the company can put more money into sales, branding, and selected growth efforts. It still treats cost cuts as a medium-term priority 2.
  • The tradeoff is a long-term risk. The public company would rely more on the founder-led buyer group for production under a manufacturing agreement, leaving a related party at the center of operations.
