US watchdog approves T-Mobile’s $4.4b US Cellular deal

The Federal Communications Commission (FCC) has approved T-Mobile US’s US$4.4 billion acquisition of a significant portion of US Cellular’s wireless operations and network infrastructure.

The deal will add 4.5 million customers across 21 states. It includes various spectrum licenses and leases, which T-Mobile plans to integrate into its nationwide network.

US Cellular will retain about 70% of its spectrum and all 4,400 wireless towers.

The FCC said the deal is expected to enhance network capacity, coverage, and fixed wireless access services.

The US Department of Justice (DOJ) will not oppose the deal but raised concerns about industry consolidation and the shrinking role of smaller carriers like US Cellular.

The FCC also approved two other transactions. These include T-Mobile’s joint venture with KKR & Co. to acquire fiber-optic provider Metronet and a US$3.1 billion merger between satellite firms SES SA and Intelsat SA.

🧠 Food for thought

1️⃣ A three-decade pattern of wireless industry consolidation continues

The US Cellular acquisition represents another step in the 40-year consolidation journey of the US wireless industry that began with the 1984 AT&T breakup into seven “Baby Bells” 1.

Since 2000, the number of major wireless carriers has steadily decreased through mergers and acquisitions, with T-Mobile absorbing MetroPCS in 2013 and Sprint in 2020, transforming what was once a market with seven major national carriers into the current “Big Three” structure 1.

This latest $4.4 billion acquisition removes another regional competitor from the market, echoing concerns raised during previous consolidation events, including the DOJ’s successful 2011 effort to block AT&T’s attempted $39 billion acquisition of T-Mobile that would have created a 43% market share 2.

Despite the elimination of yet another independent wireless provider, regulatory approaches have shifted significantly, as demonstrated by the DOJ’s decision not to challenge this deal despite acknowledging “concerns about competition” and lamenting that “regional carriers like US Cellular are disappearing.”

2️⃣ T-Mobile’s strategic expansion continues through targeted acquisitions

The US Cellular acquisition follows T-Mobile’s established pattern of strategic growth through acquisitions, beginning with its 2008 purchase of SunCom Wireless for $2.4 billion which added 1.1 million customers 3.

T-Mobile has consistently acquired companies with complementary assets, including its 2013 merger with MetroPCS that significantly expanded its customer base and rebranded the company as T-Mobile US Inc 3, and its 2013 acquisition of spectrum from US Cellular for $308 million to enhance its 4G network 3.
