US PE firm Advent to buy Israeli SaaS company Sapiens for $2.5b

US-based global private equity investor, Advent, has agreed to acquire Sapiens International Corporation for US$2.5 billion in an all-cash deal.

Sapiens is an Israel-based global leader in intelligent SaaS-based software solutions for the insurance industry.

Shareholders will receive US$43.50 per share, a 64% premium to its August 8, 2025 closing price. The transaction, approved by Sapiens’ board, will result in the company going private.

Formula Systems, an existing shareholder, will keep a minority stake.

Advent has arranged US$1.3 billion in committed equity, along with debt financing for the acquisition.

The deal is expected to close in Q4 2025 or Q1 2026, pending shareholder and regulatory approvals.

Upon completion, Sapiens shares will be delisted from public exchanges.
