US Justice Dept reviews Google’s $32b Wiz deal for antitrust

The US Department of Justice (DOJ) is reviewing Google’s planned US$32 billion acquisition of cybersecurity firm Wiz Inc.

The review, still in its early stages, aims to assess potential antitrust concerns.

Officials are examining whether the deal could restrict competition in the cybersecurity and cloud computing markets.

They are consulting with the companies involved, as well as competitors and customers.

Google has agreed to pay Wiz a US$3.2 billion breakup fee if the acquisition is not approved.

This deal follows Google’s US$5.4 billion purchase of cybersecurity firm Mandiant in 2022, which the DOJ also reviewed but did not block.

🧠 Food for thought

1️⃣ Google’s unusual breakup fee signals regulatory risk awareness

The $3.2 billion breakup fee (10% of the deal value) for the Wiz acquisition is remarkably high by historical standards, reflecting Google’s realistic assessment of regulatory hurdles.

This caution follows Google losing two major antitrust cases within the past year, with courts finding illegal monopolies in both search and advertising technology markets12.

The company’s acquisition history shows a pattern of strategic purchases that expanded its market position, with over 200 acquisitions since its 2004 IPO including transformative deals like YouTube ($1.65B), Android ($50M), and DoubleClick ($3.1B)3.

While Google successfully completed its $5.4 billion Mandiant cybersecurity acquisition in 2022, the regulatory landscape has significantly hardened since then, with the DOJ now actively seeking remedies that could include breaking up portions of Google’s business4.

The substantial breakup fee represents a calculated insurance policy against what appears to be the company’s recognition of heightened regulatory risk in the current enforcement environment.

2️⃣ The strategic value of cybersecurity acquisitions in a booming market

Google’s $32 billion bid for Wiz reflects the enormous growth trajectory of the cybersecurity sector, which is projected to expand from approximately $215 billion in 2025 to nearly $700 billion by 2035, representing a CAGR of 11-14%56.
