US cyber firm Proofpoint to buy EU’s Hornetsecurity for $1b
Proofpoint, a cybersecurity company based in Sunnyvale, California, has announced plans to acquire Hornetsecurity, a leading pan-European provider of AI-powered Microsoft 365 (M365) security, for US$1 billion.
This acquisition marks the largest in Proofpoint’s history and aims to strengthen its presence in Europe while expanding in the managed service provider (MSP) market.
Hornetsecurity, located in Hannover, Germany, specializes in cloud-based email security services. The company focuses on protecting businesses from cyberattacks, data loss, and compliance issues.
It serves over 125,000 small to medium-sized businesses and employs more than 700 people. Proofpoint, which is owned by private equity firm Thoma Bravo, said that the acquisition will enhance its ability to consolidate security tools into a unified platform.

🧠 Food for thought
1️⃣ Cybersecurity consolidation accelerating as firms prepare for public markets
Proofpoint’s acquisition of Hornetsecurity is part of a broader consolidation trend in the cybersecurity industry aimed at building stronger companies before public offerings.
CEO Sumit Dhawan previously indicated the company was targeting strategic acquisitions to enhance its business profile ahead of its planned 2026 IPO, specifically mentioning oversaturation of non-profitable cybersecurity firms 1.
This acquisition pattern matches industry expectations about the cybersecurity IPO pipeline, where private equity-backed firms like Proofpoint are strategically positioning themselves through acquisitions before returning to public markets 2.
The timing aligns with Proofpoint’s stated strategy of pursuing multiple rounds of financing to broaden its investor base before an IPO, demonstrating how private equity firms are reshaping cybersecurity companies through consolidation 3.
By adding Hornetsecurity’s 125,000 small-to-medium business customers to its portfolio, Proofpoint diversifies its customer base beyond its existing Fortune 100 clients, making it potentially more attractive to public market investors seeking growth.
2️⃣ Private-to-public journeys reshaping enterprise cybersecurity landscape
Proofpoint represents a growing pattern of cybersecurity companies going from public to private and back to public markets, using private equity backing to transform their business models.
The company’s 2021 take-private deal by Thoma Bravo for US$12.3 billion has given it the financial flexibility to make strategic acquisitions like Hornetsecurity without public market pressures, allowing for longer-term business transformation 4.
