US 10% stake in Intel could impact business, funding

Intel said a planned 10% stake by the US government could create risks for its business, including potential impacts on overseas sales and future government funding.

The company disclosed these concerns in a securities filing ahead of the transaction, which is set to close on August 26.

The US will acquire Intel shares using US$5.7 billion in unpaid grants under the CHIPS Act and US$3.2 billion from the Secure Enclave program.

Intel noted that, apart from the Secure Enclave program, its obligations under the CHIPS Act will be considered fulfilled once the deal completes.

Intel warned that a significant government ownership stake could expose it to additional regulations or restrictions abroad, including foreign subsidy laws.

Sales outside the US made up 76% of Intel’s 2024 revenue, with 29% coming from China.

The new shares will be issued at a US$4 discount to Intel’s closing price of US$24.80, diluting existing shareholders and reducing their voting power.

🧠 Food for thought

1️⃣ Grant-to-equity conversions signal a new era of government business intervention

Intel’s $8.9 billion grant-to-equity conversion represents a significant form of government intervention that could reshape how public funding operates in strategic industries.

The company explicitly warned that this deal creates uncertainty about whether “other government entities” might follow suit by converting existing grants into equity stakes 1.

This concern reflects a broader trend in government market intervention that has intensified since the 2008 financial crisis, with countries increasingly using domestic regulations to assert control over economic activities 2.

The conversion mechanism itself is noteworthy: the government is purchasing Intel shares at $20.80, representing a $4 discount from the $24.80 closing price, effectively allowing taxpayers to acquire ownership below market value 1.

This approach differs from traditional grant structures by creating ongoing government influence rather than simple conditional funding.

2️⃣ Heavy international revenue dependence creates vulnerability in nationalist policy environment
