Tron to go public via $210m merger with Nasdaq-listed firm
Tron, the cryptocurrency platform founded by Justin Sun, plans to go public in the US through a reverse merger with SRM Entertainment, a Nasdaq-listed company.
SRM, which previously focused on theme park merchandise, will transition to the crypto sector and be renamed Tron, Inc. after the deal.
The merger is valued at up to US$210 million in shares and warrants.
It includes a US$100 million private investment in Tron tokens (TRX), facilitated by New York-based investment bank Dominari Securities.
The Financial Times reported that Eric Trump is expected to take a position at the newly formed Tron, Inc.
This follows a reported pause by the US Securities and Exchange Commission in its investigation into Sun’s businesses earlier this year.

🧠 Food for thought
1️⃣ The revolving door between regulators and the regulated
Justin Sun’s path from facing SEC investigation to pursuing a U.S. public listing illustrates a pattern seen across industries where regulatory scrutiny can shift based on political connections.
The SEC officially paused its investigation into Sun’s businesses in February 2025, shortly after he became an advisor to the Trump family’s crypto company and purchased $75 million of their $TRUMP token 1.
Sun’s strategy of cultivating high-profile relationships isn’t new. In 2019, he bid a record $4.57 million for lunch with Warren Buffett, generating publicity despite Buffett’s well-known cryptocurrency skepticism 2.
The correlation between Sun’s investments in Trump-affiliated entities and the easing of his regulatory challenges raises questions about the independence of regulatory actions in an increasingly politicized financial landscape.
2️⃣ Reverse mergers: the backdoor to public markets
Tron’s approach of going public through a reverse merger with SRM Entertainment represents a strategic shortcut increasingly used by crypto companies to access U.S. capital markets while avoiding the intense scrutiny of traditional IPOs.
The $210 million deal allows Tron to leverage SRM’s existing Nasdaq listing, bypassing the lengthy SEC registration process that would typically involve detailed disclosures about business operations and risks 13.
