US tokenization firm tZERO plans to go public via SPAC deal
TZERO, a US blockchain-based securities infrastructure firm, plans to go public through a merger with special purpose acquisition company FG Imperii Acquisition Corp.
The transaction could provide up to US$231 million held in the SPAC trust, subject to shareholder redemptions and expenses.
The combined company plans to trade on NYSE American under the ticker TZRO. The companies expect the deal to close in early 2027, pending shareholder and regulatory approvals.
Investors representing about 62% of tZERO’s fully diluted capital have signed support agreements.
The company said its infrastructure serves digital securities and other tokenized assets and can support cryptocurrencies through its special-purpose broker-dealer.
FG Imperii was launched by Imperii Partners and Fundamental Global. Its US Securities and Exchange Commission filing identifies financial services and fintech as target sectors for a business combination.
The US Securities and Exchange Commission has said tokenized securities remain subject to federal securities laws, and broker-dealers and alternative trading systems that handle them must comply with existing requirements.
