TikTok shifts US assets to Oracle-led consortium
TikTok’s US assets have been officially transferred to a new joint venture, closing a deal finalized just before the January 23 deadline set by former president Trump.
The joint venture, majority American-owned, will oversee data storage, content moderation, and algorithm security for US users, with Oracle managing data storage.
The leadership team includes CEO Adam Presser and chief security officer Will Farrell, both experienced in TikTok’s US data security.
Ownership is split among a consortium including Oracle, Silver Lake, and MGX (50%), ByteDance (19.9%), and affiliates of existing ByteDance investors holding just over 30%.
The deal aims to address US national security concerns about ByteDance’s control, though questions remain.
ByteDance will continue managing global TikTok operations like ads and ecommerce. User experience is expected to change minimally.

🧠 Food for thought
Implications, context, and why it matters.
Key national security terms of the TikTok deal remain unclear
- The TikTok algorithm (the software that recommends videos to users) will be licensed from ByteDance to the new joint venture before it is retrained and reviewed, yet the legal and technical limits of that setup must be spelled out.
- Whether the license is treated as “cooperation” on an algorithm, which is barred by the divestiture law, still has to be determined.
- The terms for independent data audits, security controls, and board oversight should be checked so the US entity can be run without outside influence.
TikTok’s US joint venture could create near-term demand for AI safety vendors
- Technology vendors may see quick opportunities because the US joint venture needs standalone trust and safety operations, since it now handles content moderation for US users.
- That could lift demand for AI governance (processes and controls that guide how AI systems are built and used), machine learning evaluation (testing how well models behave), plus automated content moderation.
- TikTok’s U.S. Data Security (USDS), described as a U.S. subsidiary of TikTok, is hiring machine learning engineers for trust and safety roles in Seattle and San Jose, according to TikTok job postings 12.
- The postings do not back the claim that the roles imply “significant budgets” for specialized US-based technology partners.
