Tesla sets new rules to limit shareholder lawsuits
Tesla has changed its corporate bylaws to introduce new limitations on shareholder lawsuits.
According to a regulatory filing, this amendment took effect on May 15, 2025.
The revised bylaw requires shareholders or groups to own at least 3% of Tesla’s outstanding shares to initiate or continue a derivative proceeding.
With Tesla’s market valuation over US$1 trillion, a 3% stake amounts to more than US$30 billion.
Ann Lipton, a corporate and securities law expert at Tulane Law School, said Tesla’s amendment uses a Texas state law allowing such ownership thresholds.
Tesla incorporated in Texas in 2024 and made this move after losing a shareholder lawsuit led by Richard Tornetta.

🧠 Food for thought
1️⃣ The rising threshold for shareholder litigation represents a significant power shift
Tesla’s new 3% ownership requirement creates a $30 billion barrier to derivative lawsuits, effectively eliminating a key accountability mechanism for most investors 1.
This move follows a pattern seen in high-profile cases where derivative litigation has driven significant corporate reforms, as with Boeing’s $6.25 million settlement that mandated governance changes following the 737 MAX crashes 2.
The Goldman Sachs derivative action related to the 1MDB scandal similarly resulted in a $79.5 million payment and substantial governance reforms, demonstrating how these lawsuits have historically created accountability 3.
By implementing this threshold, Tesla has virtually eliminated the possibility of cases like Tornetta v. Musk, where a shareholder with just nine shares successfully challenged Musk’s $56 billion compensation package.
2️⃣ States are competing for corporate charters through governance standards
Tesla’s bylaw change strategically leverages Texas law following its relocation from Delaware, highlighting how corporations can “jurisdiction shop” for favorable regulatory environments 1.
This comes as Delaware legislators are fast-tracking bills to maintain their status as a corporate haven amid concerns over a potential “Dexit” of companies seeking more management-friendly jurisdictions 4.
