Temasek-backed logistics firm Shiprocket gets SEBI nod for IPO

Shiprocket has received approval from India’s Securities and Exchange Board (SEBI) for a 2,500 crore rupee (US$300 million) IPO, according to sources.

Backed by Zomato and Temasek, Shiprocket provides logistics and ecommerce support for direct-to-consumer brands and small sellers in India.

The company filed confidentially with SEBI in May and is expected to submit an updated draft red herring prospectus in the coming weeks.

About half of the IPO will consist of new shares, raising fresh funding for the firm.

Shiprocket losses cloud IPO

  • Net loss jumped from Rs 341 crore in FY23 to Rs 595 crore in FY24, as revenue rose 21% to Rs 1,316 crore 1.
  • Heavy spending on five 2022 acquisitions 2, including Pickrr bought for about Rs 1,600 crore 3, and moves into warehousing, payments and fulfillment pushed up losses.
  • CEO Saahil Goel says the core shipping unit is profitable with high EBITDA. EBITDA means earnings before interest and taxes; depreciation and amortization. Yet the path to profit is unclear next to Meesho which cut losses to Rs 53 crore and grew revenue 33% 4.
  • With losses up, planned Rs 2,000–2,500 crore raise may test investor appetite. The offer could mix a Rs 1,000–1,200 crore fresh issue (new shares) with an Offer for Sale (OFS) by current holders 1.

Logistics and fintech can tap Shiprocket’s 150,000 merchants post-IPO

  • Over 150,000 merchants use Shiprocket yearly, and 50–60% come from Tier-2 and Tier-3 cities (smaller cities outside metros), an underserved pool for add-on services 1.
  • It already works with 250+ partners across a network that covers 19,000 pin codes (postal codes) 1.
  • SaaS firms offering inventory, customer analytics, or marketing automation can plug in through programs; Shiprocket appears in Admitad’s technology partner program (Admitad is a partner marketing network) 5.
  • Cash-on-delivery is common in Indian e-commerce, with nearly 75% of Meesho’s shipped orders in FY25 as COD 4. Payment providers and working capital lenders can target Shiprocket’s small and medium-sized enterprise (SME) merchants.
