Tech investors sue Trump over TikTok asset sale
Retail investors in two social media rivals sued President Donald Trump and US Attorney General Pam Bondi to undo approval of ByteDance’s deal to form the majority American-owned TikTok USDS Joint Venture LLC.
The plaintiffs, two California residents holding shares in Alphabet and Meta, are backed by the Public Integrity Project, which includes Democratic former senator Russ Feingold.
They seek a court order to renegotiate the deal, arguing that ByteDance would still control TikTok’s essential elements.
ByteDance said the joint venture, finalized in January and 80% owned by non-Chinese investors, would protect US user data, apps, and algorithms through data privacy and cybersecurity measures, but disclosed few details.
A 2024 law required ByteDance to divest US assets by January 2025 or face a ban or fines, but the Trump administration chose not to enforce the deadline.

🧠 Food for thought
Implications, context, and why it matters.
The new TikTok deal leaves ByteDance with control of its core algorithm IP
- Non-Chinese investors get about 80% ownership in the joint venture, yet ByteDance keeps the intellectual property (IP) for TikTok’s recommendation algorithm. The venture licenses that IP from ByteDance 1.
- TikTok USDS Joint Venture LLC uses the licensed algorithm for U.S. operations. It runs content moderation on its own and manages data protection, algorithm security, and software controls 2.
- Oracle, Silver Lake, and the Abu Dhabi-based AI-focused investment firm MGX lead the investor group 2.
- Operations stay split. The JV covers data security plus content moderation, while TikTok’s global U.S. entities keep commercial work like advertising and e-commerce 1.
Beyond the lawsuit, TikTok’s deal tests a new model for tech geopolitics
- The joint venture uses a “structural remedy,” which offers a path for national security pressure without a full asset sale 3.
- One approach sits at the center of the plan. Data hosting and security move local, while the platform continues to license core technology.
- The dispute also raises a wider issue. Attention on one app’s data practices can pull focus from the lightly regulated data-broker market, where similar user data already gets bought and sold at scale 1.
- App deletions rose after the announcement, yet U.S. daily active users stayed near 95% of the prior week. The usage trend implies the product experience can outweigh ownership worries for many users 4.
