Swedish EV truck startup Einride plans $1.8b SPAC listing

Einride plans to go public in the first half of 2026 through a merger with Legato Merger Corp., a special purpose acquisition company, at a pre-money valuation of US$1.8 billion.

The Swedish startup develops electric and autonomous trucks and operates in Europe, North America, and the United Arab Emirates for clients such as Heineken and PepsiCo.

The SPAC deal is expected to provide about US$219 million in gross proceeds, not accounting for possible redemptions, with up to US$100 million sought in additional PIPE funding.

Einride reported a current annual recurring revenue run rate of US$45 million and a contracted base of US$65 million from signed customer agreements.

The company raised US$100 million in October 2025 and previously secured US$500 million in 2022 through equity and debt.

🧠 Food for thought

Implications, context, and why it matters.

Special Purpose Acquisition Company (SPAC) cash still uncertain despite up to US$319 million headline

  • Einride, a Swedish developer of electric and autonomous trucks, expects US$219 million from the SPAC deal, with up to US$100 million sought in Private Investment in Public Equity (PIPE) financing 1. That stack could reach US$319 million in gross proceeds. Redemptions or a missed PIPE close would cut what Einride receives.
  • Existing holders would keep about 83% after the merger, assuming a US$100 million PIPE 1. High redemptions would mean dilution, which could leave Einride with far less than the headline sum for expansion.
  • Against US$47 million revenue in 2024 2 and US$45 million current annual recurring revenue (ARR) run rate 1, the US$1.8 billion valuation calls for fast growth, compared with initial public offering (IPO) pitches above US$5 billion that never happened 2.

Electric vehicle (EV) charging builders can tap depot electrification demand

  • Einride plans to grow beyond about 200 electric trucks, along with deployments at PepsiCo and Heineken 3. Demand is rising for charging at depots, distribution hubs, plus freight corridors.
  • Federal plus state support is available. The U.S. Environmental Protection Agency (EPA) offers more than US$400 million through Clean Heavy-Duty Vehicles grants 4. The U.S. Department of Energy (DOE) has US$68 million for SuperTruck Charge 5. California Energy Commission (CEC) grants add US$20 million 6. These funds target high-power charging for fleets.
  • Energy service providers, utilities, and charging network operators can pre-position depot solutions in 2025-2026 alongside grant cycles, to win early business before autonomous trucks scale in 2026-2027.
