SpaceX plans IPO filing ahead of June roadshow

SpaceX plans to publish its IPO prospectus as early as the week of May 18 and start its roadshow on June 8 as the company moves toward what could be a record share sale.

The timetable could still change but the filing must be public at least 15 days before the roadshow.

The company is aiming to release it earlier to give investors more time to review the numbers.

The offering could raise about US$70 billion to US$75 billion after SpaceX merged with xAI in February in a deal valuing the combined business at US$1.25 trillion.

Advisers are also exploring broker channels in the UK Japan and Canada to place shares with longer term retail investors outside the US.

🧠 Food for thought

Implications, context, and why it matters.

The IPO may be structured to maintain Elon Musk’s control

  • SpaceX is considering a dual-class share structure for an IPO this year. It would give some holders, likely including Elon Musk, extra voting power 1.
  • That setup lets founders or early investors steer company decisions while holding fewer economic shares 1.
  • Tesla does not use this arrangement. Musk has said he needs about 25% ownership there to keep enough voting influence 1.
  • SpaceX is also adding board members to manage the IPO and support growth beyond rocket launches and satellite internet 1.

The IPO may bankroll a vision for AI in orbit

  • The planned offering follows the company’s merger with xAI. Musk described the combination as a “vertically integrated innovation engine” across rockets, AI, and space-based internet 2.
  • One stated goal is to build “orbital data centers,” which are computing facilities in space. SpaceX rockets would carry the hardware needed for advanced AI 2.
  • The merger also gives xAI more funding as it spends heavily against rivals including OpenAI and Anthropic, an AI startup 2.
  • If that plan works, the combined business could compete in AI while controlling launches, the data network, and the models 2.
