Sompo to buy reinsurance firm Aspen for $3.5b in cash deal

Sompo Holdings will acquire Aspen Insurance Holdings for US$3.5 billion in cash, according to a merger agreement announced on August 27.

Sompo, a Japanese insurance group, will buy all outstanding shares of Aspen, a specialty insurance and reinsurance provider listed on the NYSE.

Aspen reported over US$4.6 billion in gross written premiums in its most recent year.

The deal offers Aspen shareholders US$37.50 per share, a 35.6% premium over its last unaffected share price.

Leaders from both companies said the acquisition fits into Sompo’s strategy to expand its global property and casualty business.

The transaction is subject to regulatory approvals and other closing conditions.
