SoftBank-backed PayPay sets price for Nasdaq IPO
PayPay, a Japan-based mobile payments firm and consolidated subsidiary of SoftBank Corp., priced an IPO of 54,987,214 American depositary shares at US$16 per ADS for a Nasdaq Global Select Market listing under the ticker PAYP, with trading expected to begin March 12, 2026 (US. time).
The offering includes 31,054,254 ADSs from PayPay and 23,932,960 ADSs from selling shareholder SVF II Piranha (DE) LLC, an investment fund ultimately controlled by SoftBank Group Corp.
PayPay has granted the underwriters an option to purchase up to an additional 8,248,081 ADSs to cover over allotments, exercisable for 30 days after the date of the final prospectus.
The IPO is expected to close on March 13, 2026 (U.S. time), subject to customary closing conditions, and joint book-running managers are Goldman Sachs & Co. LLC, J.P. Morgan, Mizuho Securities USA LLC, and Morgan Stanley & Co. LLC.
A public offering of 8,653,079 ADSs in Japan is planned at the same US$16 price, and a registration statement on Form F-1 relating to the U.S. offering was declared effective by the SEC on March 11, 2026 (U.S. time). A securities registration statement relating to the public offering in Japan was filed with the Kanto Local Finance Bureau and was declared effective on March 12, 2026.
SoftBank Corp. said it intends that PayPay will continue to be a consolidated subsidiary following the completion of the IPO and that it does not expect the IPO to have a material effect on its consolidated results or financial position.
