🧠 Food for thought
Implications, context, and why it matters.
How Samsung SDS’s board structure relates to its KKR partnership
- Samsung SDS’s board approved a 1.2 trillion won (US$816 million) convertible bond, since it signs off on share issuances, convertible bonds, and major investments 1.
- By law, the board must have a majority of outside directors, which supports independent decisions on moves tied to the KKR transaction 1.
- Conflict-of-interest rules limit deals between directors and the company, and any director with a stake in a decision cannot vote on it 1.
- These guardrails aim to keep large transactions focused on Samsung SDS’s interests rather than personal gain 1.
The Samsung SDS–KKR deal points to a new playbook for AI funding
- More cash-rich tech firms now bring in outside money for AI spending. Samsung SDS partnered with KKR, a global investment firm, for funding plus guidance after six years as a long-term adviser.
- The arrangement offers a template for established tech companies facing heavy AI investment. It spreads risk by pairing internal cash with external financing and advisory support.
- KKR has also raised capital through convertible preferred stock. KKR said proceeds from one offering were for buying more equity in certain portfolio companies and for general corporate purposes, not for large-scale AI or infrastructure investments 2.
