Russian internet firm Yandex co-owner to increase stake in rival

Pavel Prass, co-owner of Russian tech firm Yandex, plans to increase his stake in VK, a major competitor.

VK will issue an additional 354 million shares priced at 324.9 roubles (US$3.9) each, aiming to raise up to 115 billion roubles (US$1.37 billion) to reduce its debt.

If approved at a shareholder meeting on April 30, the buyers, AM-Invest and Agana, will control 61% of VK’s expanded capital.

This move highlights ongoing consolidation in Russia’s tech sector.

Prass, who currently holds a stake in VK, is part of a restructuring that follows a US$5.4 billion deal in July 2024.

The deal ended foreign ownership in Yandex and transferred its Russian operations to a consortium that includes senior Yandex management, Lukoil, and Prass.

🧠 Food for thought

1️⃣ Government-driven tech consolidation is reshaping Russia’s digital landscape

The Prass investment in VK represents a broader trend of consolidation in Russia’s tech sector, which has accelerated since the Ukraine invasion.

Despite international sanctions, Russia’s tech market is experiencing paradoxical growth through consolidation, with the combined value of Russia’s 30 largest internet firms increasing from $55 billion to $59 billion in 2024 1.

The Russian government’s push for digital sovereignty has created a vacuum as Western tech companies exit, leading to a shift toward concentrated ownership among Kremlin-aligned investors 2.

This consolidation is significantly reshaping the competitive landscape, with analysts predicting that foreign companies’ market share will decrease dramatically, leaving a few large state-aligned players to dominate 3.

The $5.4 billion Yandex deal that brought foreign ownership to a close represents a prime example of how Russia’s tech assets are being redistributed among a small circle of domestic investors with connections to government interests.

2️⃣ Brain drain threatens Russia’s technological self-sufficiency ambitions

As Yandex and VK ownership consolidates among Russian investors like Prass, the companies face a severe talent crisis undermining their development potential.
