Robinhood CEO defends tokenized shares of OpenAI, SpaceX

Robinhood CEO Vlad Tenev said it’s not “entirely relevant” that the trading platform’s so-called tokenized shares of OpenAI and SpaceX aren’t technically equity.

In a CNBC interview on July 8, Tenev explained that the tokens give EU retail investors exposure to private companies.

Robinhood said that the tokens are backed by its ownership stake in a special purpose vehicle (SPV).

Last week, OpenAI clarified that Robinhood’s stock tokens do not represent equity in the company.

The organization emphasized that any transfer of its equity requires approval, which has not been granted.

The Bank of Lithuania, Robinhood’s lead EU regulator, said it is seeking further clarification on the token structure.

Tenev noted Robinhood welcomes regulatory scrutiny and is committed to legal compliance.

🧠 Food for thought

1️⃣ Tokenized securities challenge traditional ownership definitions

Robinhood’s tokenized stock offering highlights the growing gap between representation and actual ownership in digital assets.

Unlike traditional equities, these tokens don’t confer voting rights, dividends, or direct ownership—they’re more accurately described as derivatives rather than equity shares 1.

OpenAI’s public disavowal reflects legitimate concerns about misrepresentation, as any transfer of actual OpenAI equity requires company approval, which was not granted in this case 1.

This scenario mirrors earlier tokenization experiments, where regulatory clarity lagged behind innovation. For example, the first Security Token Offering (STO) launched by Blockchain Capital in 2017 raised $10 million in a day despite similar ambiguities about investor rights 2.

The lack of clear legal rights associated with these tokens creates potential confusion for retail investors who may mistakenly believe they’re getting the same rights as traditional shareholders.

2️⃣ Europe becomes testing ground for tokenized private assets
