US retailer GameStop reportedly offers $56b for eBay

GameStop said on May 3 it has proposed to buy eBay for about US$56 billion in an unsolicited offer.

Chief executive Ryan Cohen said the bid values eBay at US$125 a share in a mix of cash and stock, representing a premium of about 20% to its recent closing price.

Cohen said combining the two companies could improve earnings and cut costs, adding that GameStop could take the offer directly to shareholders if eBay’s board rejects it.

The proposal would be unusual given GameStop’s smaller size, with a market value of about US$12 billion compared with eBay’s roughly US$46 billion.

🧠 Food for thought

Implications, context, and why it matters.

GameStop’s cash pile supports its unsolicited eBay bid

  • GameStop made the offer after building about $9.0 billion in cash plus cash equivalents and marketable securities by the close of the quarter ended Jan. 31 2026 1.
  • Much of that money came from fundraising rather than store operations. Annual sales fell, and the company raised $4.2 billion through convertible notes, debt that can later turn into shares 2.
  • Cohen also moved GameStop from a $26.2 million operating loss in fiscal 2024 to $232.1 million in operating income in fiscal 2025. Lower selling general and administrative expenses helped 2.

Cohen’s bid takes an unusual takeover path for a smaller public company

  • The offer lays out a rare path where a smaller public company with plenty of cash goes after a much larger target 3.
  • Cohen built a roughly 5% stake in eBay before the unsolicited offer. He also said he was ready for a proxy fight if eBay rejects the bid. A proxy fight is a campaign to win shareholder support against a company’s board 4.
  • The move could push boards at larger companies to prepare for smaller buyers with deep cash reserves. GameStop has a market value near $12 billion, while eBay stands around $46 billion, almost four times larger 3.
