Razorpay completes reverse flip from US to India

Razorpay, an Indian fintech company, has completed the reverse flip of its parent entity from the United States to India.

The Ministry of Corporate Affairs (MCA) has approved the merger of Razorpay Inc. with its Bengaluru-based subsidiary, Razorpay Software Pvt Ltd, according to regulatory filings.

This process was conducted under new regulatory norms that eliminate the need for National Company Law Tribunal (NCLT) approval.

Instead, Razorpay required clearances from the Reserve Bank of India (RBI) and the MCA, which have now been finalized.

Razorpay operates as a payment aggregator and provides services in cross-border payments.

The fintech firm has raised about US$742 million in equity funding and is valued at US$8 billion, with investors including Peak XV Partners, Tiger Global, GIC, and Ribbit Capital.

🧠 Food for thought

1️⃣ Reverse flipping emerges as a major trend among high-value Indian startups

Razorpay’s return to India isn’t an isolated move but part of a significant shift in India’s startup ecosystem, with numerous high-profile companies redomiciling from foreign jurisdictions.

Over 70 startups are reportedly planning to return to India, with several major players already completing the process, including PhonePe, Groww, Dream Sports, and Zepto 1.

This migration represents a shift from the previous decade when startups often established holding companies in Singapore or Delaware to attract global investors.

In 2024 alone, 13 tech companies successfully listed on Indian exchanges, demonstrating the growing confidence in domestic capital markets 2.

The trend reflects India’s maturing startup ecosystem, with companies no longer feeling compelled to base themselves offshore to access capital or achieve favorable valuations.

2️⃣ Regulatory reforms have streamlined the redomiciliation process

Razorpay’s ability to bypass the National Company Law Tribunal (NCLT) represents a significant regulatory evolution that has removed a major obstacle for companies looking to return to India.
