Permira, Warburg to buy investment software firm Clearwater for $8.4b
Clearwater Analytics has agreed to be acquired for US$8.4 billion by an investor group led by Permira and Warburg Pincus, with participation from Temasek and support from Francisco Partners.
Clearwater Analytics, based in Boise, Idaho, provides investment accounting and analytics software.
Shareholders will receive US$24.55 per share in cash, representing a 47% premium over the undisturbed share price from November 10, 2025.
A special committee of Clearwater’s board unanimously recommended the deal, and the full board approved it; the transaction remains subject to shareholder and regulatory approvals.
The acquisition is expected to close in the first half of 2026.
After the deal closes, Clearwater will become a private company and its shares will be delisted from the NYSE.
