PayPal boosts stake to 41% in German ecommerce firm: sources

PayPal is set to increase its stake in Shopware, a German ecommerce firm, from about 11% to roughly 41%, according to sources familiar with the deal.

Shopware provides ecommerce solutions for merchants and was founded by Sebastian and Stefan Hamann.

The additional shares are being acquired from a Carlyle Group fund.

PayPal and Carlyle previously invested US$100 million in Shopware in February 2022.

A PayPal spokesperson said the agreement reflects the company’s strategy of forming partnerships in Europe.

Shopware has operated for over 20 years and focuses on serving merchants in Germany and beyond.

🧠 Food for thought

Implications, context, and why it matters.

PayPal’s stake rises to about 41%; valuation and Shopware financials undisclosed

  • The deal’s impact stays unclear because PayPal’s price and Shopware’s current financials remain undisclosed. German firms file annual statements via the Bundesanzeiger (Germany’s Federal Gazette) and the Unternehmensregister. Since 1 Aug 2022 under Germany’s Act to Implement the EU Digitalization Directive (DiRUG), filings for financial years beginning after 31 Dec 2021 go to the Unternehmensregister. Specific recent Shopware filings are not readily accessible in the sources provided 12.
  • A 41% stake can come with board seats or veto rights over strategy, yet the deal terms remain unknown. PayPal’s sway over product plans or merchant integrations depends on governance rights like board representation or protective provisions, or on convertibles such as preferred shares that convert to common equity.
  • Shopware serves over 50,000 companies 3. Revenue growth and profitability since the 2022 funding round are not public. So it is hard to tell if PayPal is buying into fast expansion or shoring up a slower partner.

Agencies and ISVs may find opportunities in Shopware’s partner ecosystem for co-sell and integration plays

  • More than 1,200 certified agencies work in the Shopware network 4. Payment providers, enterprise software firms, or marketing tech vendors can use these channels to reach merchants.
  • The extension marketplace lists over 3,100 apps from technology partners 5. Independent Software Vendors (ISVs) that offer analytics, fulfillment, or Customer Relationship Management (CRM) tools can speed adoption by building native integrations and running co-marketing with leading agencies, including joint selling (co-sell).
  • Investors and acquirers can use the Shopware United community directory 6 to find agencies. Shopware United is an independent community of partners and developers. That map supports focused mergers and acquisitions (M&A) or partnerships in Germany, where Shopware has deep roots. PayPal’s larger stake hints at more go-to-market activity.
