OpenAI reportedly reaches all-stock Disney license deal
OpenAI has reached a licensing agreement with Walt Disney Co. to use over 200 Disney characters in its Sora video app, according to Bloomberg.
The deal is structured entirely in stock warrants rather than a cash payment, giving Disney the option to purchase additional OpenAI shares beyond its previously announced US$1 billion stake.
Disney, based in the US, is deferring immediate licensing fees in favor of potential future gains tied to Sora’s performance.
OpenAI will also provide its software for Disney to develop new products and experiences.
The agreement marks the largest equity investment by a major studio in an AI model maker so far.

🧠 Food for thought
Implications, context, and why it matters.
Disney’s equity and warrants hedge Sora’s uncertain market fit
- Disney put $1 billion into OpenAI with warrants (rights to buy more shares later) 1. The deal still needs definitive agreements, required approvals, and standard closing steps 1. OpenAI has sometimes cut off Sora access because demand spiked 2.
- The exclusivity lasts one year within a three-year licensing deal that also includes the $1 billion OpenAI stake 31. CEO Bob Iger said Disney can license to other AI firms after year one 3. NewsGuard found Sora created videos that pushed false claims 80% of the time in its tests, which raises brand safety questions for family intellectual property (IP) 4.
Verification vendors can tackle Disney’s wide IP enforcement challenge
- B2B software firms can build automated checks for ad agencies and large social platforms to spot unauthorized Disney IP in user content. Sora videos carry visible watermarks and Coalition for Content Provenance and Authenticity (C2PA) metadata, which is provenance info attached to media files 42. NewsGuard removed the visible watermark with free tools 4. Researchers have stripped C2PA data as well 5. These gaps will matter once clips start flowing across social apps in early 2026 16.
- Timing matters. Disney sent a cease-and-desist to Google for alleged copyright infringement on the day it announced the OpenAI deal 3. That move signals active IP enforcement. Vendors should tie into Sora watermark and provenance signals 1. Tools must run across the social sites where fan clips spread 1. They also need technical partners in place before the early 2026 launch window 1.
