Ola Electric shareholders nod to IPO fund use changes

Ola Electric shareholders have approved changes to how the company can use its IPO funds and extended the timeline for spending the proceeds.

The resolution passed with 99.1% support.

The India-based EV maker had initially planned to allocate the 5,500 crore rupee (US$629.8 million) raised in its IPO to expanding cell manufacturing, debt repayment, R&D, and general purposes.

The company has fully used the funds set aside for cell manufacturing expansion but will limit further capacity increases beyond 5 GWh until FY29 due to slower EV market growth.

So far, Ola Electric has spent 2,900.6 crore rupee (US$332.1 million) from its IPO proceeds.

🧠 Food for thought

1️⃣ IPO fund redirections reveal the challenge of long-term capital planning in volatile markets

Ola Electric’s shareholder approval to redirect IPO proceeds highlights how companies must adapt their capital allocation when market conditions shift unexpectedly.

The company raised Rs 5,500 crore in August 2024 but has already completed its planned cell manufacturing expansion and now believes expanding beyond 5 GWh capacity isn’t optimal due to slow EV segment growth1.

This represents a significant strategic pivot from their original plan to reach 20 GWh capacity by 2026, now limited to 5 GWh until FY291.

The overwhelming 99.09% shareholder approval suggests investors recognize the need for flexibility when initial assumptions prove incorrect1.

This reflects broader market realities where even well-funded companies must recalibrate their expansion plans based on actual demand rather than projected growth.

2️⃣ Regional EV market divergence creates strategic complexity for manufacturers

Ola Electric’s capacity reduction decision comes despite global EV sales being projected to reach nearly 22 million units in 2025, marking a 25% increase from 20242.

However, regional markets show significant variation. While China is expected to account for nearly two-thirds of global EV sales, the US experienced a 6.3% year-over-year decline in Q2 202532.
