Nvidia-backed CoreWeave shares soar 19% on $2b debt offering

CoreWeave’s shares rose 19% after it announced a US$2 billion debt offering priced at 9.25%, maturing in June 2030.

This represents a US$500 million increase from its original plan.

The company plans to use the funds to reduce existing debt, and the offering was five times oversubscribed.

In its first-quarter report, CoreWeave said it has raised US$17.2 billion through equity and debt to expand its AI cloud computing infrastructure.

The company showed higher-than-expected revenue but also a larger net loss, with plans for heavy capital spending on infrastructure.

At the end of the quarter, CoreWeave’s current debt stood at US$3.8 billion and non-current debt at US$4.9 billion.

It has no major debt due until 2028, aside from smaller vendor financing and contract-related debt.

🧠 Food for thought

1️⃣ AI infrastructure’s debt-fueled expansion raises sustainability questions

CoreWeave’s massive debt offerings reflect a broader trend in AI infrastructure financing, where companies are taking on unprecedented leverage to capture market share.

The company’s debt-to-equity ratio stands at a staggering 283.8%, with total debt of $8.7 billion against $3.1 billion in shareholder equity 1.

Despite generating $981.6 million in Q1 revenue (a 420% year-over-year increase), CoreWeave still reported a net loss of $314.6 million, highlighting the disconnect between growth and profitability 2.

This pattern extends beyond CoreWeave, as industry analysts estimate up to 80% of data center development now relies on debt financing 3.

The 5x oversubscription of CoreWeave’s latest offering demonstrates strong investor appetite for AI infrastructure debt, even as the company plans $20-23 billion in capital expenditures for 2025 alone 4.

The sustainability of this model hinges on continued AI demand growth and steady revenue from long-term contracts, creating potential vulnerabilities if market conditions shift.
