Nvidia board member Persis Drell steps down after a decade
Nvidia director Persis Drell resigned from the company’s board after more than a decade, according to an SEC filing on January 23.
Drell, a Stanford engineering professor, stepped down to pursue a new professional opportunity, with Nvidia saying there was no disagreement with the company.
She owned nearly 143,000 Nvidia shares valued at about US$26 million and received approximately US$344,000 in compensation last year.
She has been a Stanford faculty member since 2002, serving as dean of engineering and provost.
Her departure leaves the Nvidia board with 10 members, including CEO Jensen Huang.

🧠 Food for thought
Implications, context, and why it matters.
Key governance details following the board departure need clarification
- The effective date of Persis Drell’s resignation should be verified to lock in the transition timing for Nvidia’s board of directors.
- Because Drell served on Nvidia’s board compensation committee, a replacement for that seat must be confirmed to keep committee work moving.
- Nvidia’s board is now at 10 directors, so it should be clarified whether that number will be kept or a search will be started for another director.
The board opening may be of interest to executive search firms and potential director candidates
- Executive search firms and director candidates may treat the vacancy as a sought-after seat at one of the world’s most valuable companies.
- They can review Nvidia’s latest proxy statement (a document public companies file to help shareholders vote on corporate governance matters) to gauge the director qualifications and the board skills matrix that may shape the next pick.
- Investors can use the same filings to weigh how a new director could affect governance, given Drell’s experience in engineering and academia.
