Netflix reportedly plans all-cash bid for Warner Bros.
Netflix is reportedly preparing to change its US$83 billion offer for Warner Bros Discovery (WBD) to an all-cash deal in an effort to speed up the acquisition and counter a competing bid from Paramount Skydance.
The move is intended to make the deal more attractive to WBD shareholders and accelerate the process, which could take months.
Paramount, backed by a US$40 billion guarantee from Oracle co-founder Larry Ellison, has made a US$108.4 billion bid for WBD, and is planning to nominate directors to WBD’s board to oppose the Netflix deal.
WBD previously advised shareholders to reject Paramount’s hostile and “inadequate” bid, citing concerns over its debt financing.

Implications, context, and why it matters.
Netflix’s reported all-cash pivot reveals financing trade-offs in an $83B bid
- Netflix moved to an all‑cash offer to speed approval and counter Paramount Skydance, with terms undisclosed.
- Warner Bros. Discovery (WBD)’s debt‑to‑equity has improved to 0.90 1, yet margin is 1.46% 1, which could complicate valuation and integration.
- The original $23.3 per‑share offer mixed cash, Netflix stock, and equity in WBD’s global networks. An all‑cash shift drops the stock and raises the cash outlay. The article says WBD holders still get equity in the carved‑out networks (a carve‑out is a business unit split from the transaction and run or sold independently).
- Investors in equity or credit review Netflix’s net debt, free‑cash‑flow path, and credit‑rating thresholds. They want an all‑cash plan that keeps investment‑grade status and flexibility.
Implications for a potential carve-out of WBD’s global networks
- Under Netflix’s plan, CNN, Cartoon Network, and Discovery Channel sit outside the deal. This leaves an asset needing a buyer or new plan.
- Operators in content delivery, adtech, or streaming infrastructure can assess revenue and EBITDA to prep bids or integration plans. EBITDA means earnings before interest and taxes. It excludes depreciation and amortization.
- WBD’s P/E jumped to 99.69x in Q3 2025 from 36.92x in Q2 2025 1. Buyers should dig into earnings quality and one‑time items that skew the carved‑out unit’s multiples.
- Strategic buyers or private equity can model IT separation costs, adtech moves, and Content Delivery Network (CDN) reconfigurations to run networks or slot them into media portfolios.
