Nebius in talks to buy Israeli AI firm after Nvidia deal fails

Israeli AI startup AI21 Labs is in acquisition talks with AI infrastructure company Nebius, according to a report by The Information, after earlier discussions with Nvidia ended without a deal.

Co-founder and chairman Amnon Shashua said in January that AI21 was exploring strategic options with Nvidia and other buyers.

Nvidia talks had valued AI21 at US$2 billion to US$3 billion, above its last known 2023 valuation of US$1.4 billion.

Founded in 2017, AI21 now focuses on enterprise tools after dropping its consumer product, Wordtune, and has estimated annual revenue of about US$50 million with about 200 staff.

Financial terms of the current talks were not disclosed.

🧠 Food for thought

Implications, context, and why it matters.

Nvidia is an investor in both Nebius and AI21 Labs

  • Nvidia has stakes in both companies tied to the talks, so the situation goes beyond swapping one buyer for another 1, 2.
  • Nvidia joined AI21 Labs’ series C round, which priced the company at US$1.4 billion, alongside Google and other investors 1.
  • Nvidia also backed Nebius, putting in US$2 billion directly 2 and buying another US$2 billion in Nebius share warrants 3.
  • Those overlaps frame the possible transaction as coordination inside the same business circle, not a clean acquisition after a rival bid fell through 1, 2.

AI infrastructure companies are buying into the application layer

  • Nebius’s interest in AI21 Labs ties to a push beyond selling compute, moving toward packaged AI products and services 4.
  • Nebius already runs an in-house large language model research and development team, plus an inference service called Nebius AI Studio, a platform for running AI models 5.
  • Buying AI21 Labs would add an enterprise software layer to Nebius’s infrastructure business, helping it compete with cloud providers that pair infrastructure with proprietary models 5.
  • Customer demand also shapes the move, including a Meta contract worth up to US$27 billion and customer prepayments that Nebius says mostly come from Microsoft and Meta 4, 3.
