Musk’s legal battle over $56b Tesla pay reaches final stage

Elon Musk’s lawyers will appear on October 15, 2025 before the Delaware Supreme Court to seek the reinstatement of his US$56 billion Tesla pay package, nearly two years after a lower court voided the record-setting compensation.

In January 2024, the Delaware Court of Chancery ruled that Tesla’s board was not independent when it approved Musk’s 2018 pay and that shareholders lacked key information when voting, leading the judge to find the package unfair to investors.

Tesla, now incorporated in Texas, and its directors argue the lower court misapplied the law and facts, and maintain that shareholders were informed of the pay deal’s economic terms.

If the appeal fails, Tesla agreed in August to a replacement deal for Musk.
