🧠 Food for thought
1️⃣ Performance-based acquisitions help buyers manage creative industry risks
K Wave Media structured its Rabbit Walk acquisition with significant performance contingencies, paying $6.5 million upfront but withholding another $6.5 million until the studio achieves operating profit exceeding $800,000 in either 2025 or 20261.
This approach reflects the inherent uncertainty in creative and technology businesses, where past performance doesn’t guarantee future results despite Rabbit Walk’s solid track record of $10.7 million in 2024 revenue and 22% compound annual growth rate from 2020-20241.
The structure protects K Wave Media from overpaying for potential that may not materialize while still providing Rabbit Walk’s founders with substantial upside if they continue executing successfully.
This payment model has become increasingly common in creative industry acquisitions, as buyers seek to balance the need to attract quality targets with the reality that creative businesses can be volatile and dependent on key relationships and talent retention.
2️⃣ VFX studios gain strategic value through established client relationships and AI capabilities
Rabbit Walk’s 14-year relationship with Samsung Electronics, plus contracts with LG, TCL, and Hisense, demonstrate how long-term client relationships become acquisition targets in the consolidating VFX industry1.
The acquisition specifically adds AI-powered advertising capabilities alongside traditional VFX services, aligning with industry trends where AI integration is improving VFX workflows by automating tasks like object tracking and rendering2.
