Japan’s Metaplanet raises $256.5m in share placement
Metaplanet said it raised about 40.8 billion yen (US$256.47 million) in a share placement priced at a 2% premium.
The Tokyo-listed bitcoin treasury firm paired the placement with fixed-strike warrants carrying a 10% premium, which could generate an additional 44.5 billion yen if exercised.
The company said the combined structure could unlock up to about 85.3 billion yen (US$536.2 million).
That sum is about US$531 million and the initial 40.8 billion yen (US$256.47 million) is about US$255 million.
Metaplanet introduced a new series of moving-strike warrants with an mNAV (multiple to net asset value) clause that allows the warrants to be exercised only when shares trade at least 1.01 times a modified net asset value.
The firm suspended the exercise of previously issued warrants representing up to 210 million shares to limit dilution and prioritize funding for further bitcoin purchases.
Metaplanet will use the proceeds mainly to add bitcoin toward a long-term target of 210,000 BTC and said it currently holds 35,102 BTC.

🧠 Food for thought
Implications, context, and why it matters.
A hotel operator’s pivot to Bitcoin reveals a deeper strategy
- Metaplanet started as a hotel operator, then reworked itself into a Tokyo-listed bitcoin treasury firm, which helps explain how the market prices it today.
- The shift also clarifies why the shares sit at a 0.9x Price-to-Book ratio, below the 2.7x average for Japan hospitality peers.
- The plan goes past holding bitcoin. Metaplanet set up Metaplanet Ventures K.K., a wholly owned subsidiary aimed at bitcoin financial infrastructure, supported by a planned ¥4 billion investment program.
- Growth efforts include buying Bitcoin.jp for Japan and starting Metaplanet Income Corp in the U.S.
This financing structure could be a blueprint for corporate Bitcoin adoption
- Metaplanet added an mNAV (multiple to net asset value) clause to a new series of moving-strike warrants to tackle shareholder dilution tied to corporate bitcoin holdings.
- Investors can exercise the warrants only when shares trade at least 1.01 times modified net asset value. Metaplanet said this aims to make new issuance raise bitcoin holdings per share.
- To limit dilution, Metaplanet paused exercise of earlier warrants covering up to 210 million shares, while putting the newer setup first.
- If it works, other public companies could copy this approach as a more shareholder-friendly way to raise money for bitcoin on the balance sheet.
