Japanese chipmaker Renesas mulls $2b sale of timing unit

Renesas Electronics is considering the sale of its timing division, a move that could value the unit near US$2 billion, according to sources familiar with the matter.

The Japanese semiconductor firm is working with JP Morgan to explore the deal, which remains at an early stage.

Potential buyers could include Texas Instruments and Infineon, the sources said.

Renesas’ timing division produces integrated circuits that manage clock and synchronization functions, essential for data centers, telecom infrastructure, and 5G networks.

The sale comes amid rising demand for chips powering AI and high-speed communications.

Timing unit case is murky without standalone numbers

  • A $2 billion price tag looks large next to Renesas’s 1,348.48 billion JPY (about $9 billion) in revenue 1. There is no standalone sales, EBITDA (earnings before interest, taxes, depreciation, and amortization), or growth for the timing unit, so it is guesswork to say if this is a premium or a discount.
  • The timing IC market reached $8.08 billion in 2023 with 7.71% expected CAGR through 2032 2. Crystal oscillators, which generate precise reference frequencies, made about 40% of product revenue 2, and the $2 billion price could equal a low single-digit sales multiple if Renesas holds share in data center and telecom.
  • Renesas bought IDT (Integrated Device Technology) for timing strength 3, so selling this unit would mark a shift from its usual acquisition-led expansion.

Rivals can use the handoff period to win timing IC slots

  • Analog Devices, Silicon Labs, and NXP participate in timing ICs 3, and a change in owner can unsettle server, networking, and telecom customers, which opens the door to rival design wins (being selected for a customer’s product).
  • AI data centers draw attention. SiTime, a timing specialist, launched MEMS-based (micro-electro-mechanical systems) clock generators for that build-out 4. Rivals can pitch stability while any sale plays out.
  • In 5G infrastructure, timing ICs keep networks in sync. Distributors and design service firms can approach Renesas customers with vendor qualification programs, as procurement teams look to de-risk supply during an owner change.
