Italian software firm Bending Spoons files for US IPO
Bending Spoons, a Milan-based software company that owns Evernote and WeTransfer, and has agreed to acquire Vimeo and AOL, filed for a US initial public offering on June 8, joining other European tech companies seeking US listings.
Its filing with the US Securities and Exchange Commission showed net income of US$27.5 million on US$601 million in revenue for the first quarter of 2026, compared with a US$112 million loss on US$259 million in revenue a year earlier.
The shares are expected to trade on Nasdaq under the ticker BSP.
Bending Spoons has acquired more than 50 digital brands, giving it the profile of a software roll-up rather than a single-product app maker.
Evernote joined its portfolio in early 2023. Recent profit gains were associated with cost cuts and workforce reductions at acquired businesses, including Vimeo and WeTransfer.
The filing said Bending Spoons will use a dual-class share structure under which its founders will retain control through Class A shares, which carry five votes each.
