Indonesia’s Telkom spins off fiber unit in $2.2b deal
Telkom Indonesia has signed a conditional spin-off agreement with its subsidiary, Telkom Infrastruktur Indonesia, for a transaction valued at 35.8 trillion rupiah (US$2.16 billion).
The deal will see Telkom transfer part of its wholesale fiber connectivity business and assets to the subsidiary, with Telkom retaining a 99.99% stake after the transaction.
The spin-off will be completed in two stages, with more than 50% of Telkom’s fiber assets and business set to move to Telkom Infrastruktur in Q4 2025, and full transfer targeted for the second half of 2026.
Telkom said there is no conflict of interest in the transaction and does not expect a financial impact since the subsidiary is consolidated under the group.
The company is also preparing to transfer related assets and employees as part of the process.
Telkom is exploring partnership strategies to grow the fiber connectivity business after the spin-off.
