GoTo says no merger decision made with Grab

GoTo Gojek Tokopedia (GOTO) has denied reports of a merger with Grab after speculation surfaced from sources in the Indonesian government.

GOTO is a tech company based in Indonesia operating ride-hailing and ecommerce platforms.

The company said there has been no decision or agreement regarding any merger or corporate action with Grab.

GoTo’s legal and corporate secretary said the company follows regulations for public companies and will prioritize the interests of shareholders, drivers, small businesses, and consumers.

GoTo will hold an extraordinary general meeting of shareholders on December 17, 2025, but did not disclose the agenda.

The company clarified that this meeting is part of standard governance and unrelated to any merger plans.

🧠 Food for thought

Implications, context, and why it matters.

Indonesia’s merger law creates a regulatory blind spot until deals close

  • Rumors swirl about a Grab–GoTo deal. GoTo says there is no decision or agreement, and it denies any merger plan for now.
  • Indonesian law tells companies to notify Komisi Pengawas Persaingan Usaha (KPPU), the competition regulator, only after a merger takes effect 1. That after-the-fact setup limits early scrutiny in fast digital markets, so regulators step in late 2.
  • KPPU’s chairman says the agency cannot review any Grab–GoTo plan until a notice arrives within 30 days after a deal takes effect 1. Speculation grows, yet officials must wait for the filing, which leaves the market guessing.
  • This gap is risky in platform markets where network effects and switching costs lock in users fast 2. By the time KPPU can act, dominance may stick, and fixes may work less well than early action.

GoTo sets Dec 17 extraordinary general meeting (EGM) with undisclosed agenda; company says it’s routine, not tied to merger talks

  • GoTo set an extraordinary general meeting for December 17, 2025, with no agenda shared yet. Executives call it routine, and say it is not linked to any merger talks.
  • Shareholders okayed a $200 million buyback and use of treasury shares (stock the company holds on its own balance sheet) for employee options 3. Investors can watch Indonesia Stock Exchange (IDX) filings for the EGM agenda once it posts.
