Google said to pay $2.4b for AI startup Windsurf talent, rights

Google has reportedly agreed to pay around US$2.4 billion for licensing rights and talent from AI coding startup Windsurf.

The deal includes hiring Windsurf CEO Varun Mohan, co-founder Douglas Chen, and a small group of employees who will join Google’s DeepMind unit.

Google confirmed the hiring but said it has not acquired a stake in the startup.

This follows the collapse of Windsurf’s earlier US$3 billion acquisition deal with OpenAI.

Windsurf, officially Exafunction Inc., was founded in 2021 and develops AI coding tools that automate programming tasks.

🧠 Food for thought

1️⃣ The evolution of tech acquisitions: talent over companies

Google’s $2.4 billion deal for Windsurf talent and licenses represents a significant shift in how tech giants approach acquisitions in the AI era.

This pattern of “reverse acquihires” has accelerated across the industry, with Google, Microsoft, and Amazon all recently securing AI talent while allowing startups to continue operating independently 1.

The approach differs markedly from traditional M&A activity, which saw 635 AI startups fully acquired between 2010-2018, with acquisitions increasing sixfold during that period 2.

This strategic shift allows tech giants to secure specialized AI expertise without triggering the same level of regulatory scrutiny that complete acquisitions might face, as regulators have historically focused on full company takeovers.

Despite their different structure, these arrangements are attracting regulatory attention, with government probes opening into similar deals as authorities question whether they circumvent antitrust review 3.

2️⃣ The escalating value of AI coding talent

Windsurf’s $2.4 billion valuation for talent and licensing rights highlights the extraordinary premium tech giants place on AI coding capabilities.

The startup had experienced remarkable growth, reportedly increasing revenue from $10 million to $40 million in just two years before OpenAI’s initial $3 billion acquisition attempt 4.
