German healthcare firm Merck KGaA to buy SpringWorks for $3.9b
German healthcare and materials company, Merck KGaA, has announced an agreement to acquire US-based biotech firm SpringWorks Therapeutics for US$3.9 billion.
This acquisition is part of Merck’s strategy to enhance its cancer treatment offerings.
The German company will buy SpringWorks for US$47 per share in cash, valuing it at US$3.4 billion after adjusting for cash reserves, using available cash and new debt to fund the deal.
Merck expects the acquisition to positively impact its adjusted earnings per share by 2027.
Despite this deal, Merck said it remains capable of pursuing larger transactions in the future.

🧠 Food for thought
1️⃣ Big pharma increasingly relies on biotech acquisitions for innovation
The SpringWorks purchase reflects a fundamental shift in how pharmaceutical companies develop new drugs, with external acquisitions now accounting for approximately 50% of innovation compared to just 25% in 2001 1.
This $3.9 billion deal demonstrates how established players like Merck KGaA are willing to pay significant premiums to access ready-made innovation rather than developing treatments entirely in-house.
SpringWorks’ rare disease focus aligns with the industry-wide trend of pursuing specialized markets with less competition and higher pricing potential rather than mass-market medications.
The acquisition follows a pattern of consolidation seen across the industry, with 212 pharmaceutical deals worth over $200 billion occurring in just the first half of 2018 alone 1.
For Merck KGaA specifically, this transaction helps counter the industry-wide challenge of patent expirations, which put an estimated $85 billion in revenues at risk across the pharmaceutical sector over a three-year period 1.
2️⃣ Oncology remains a prime target for pharmaceutical investment
Merck’s acquisition of SpringWorks reflects the strategic importance of the cancer treatment market, which is projected to grow from $168.93 billion in 2024 to $320.92 billion by 2033, a compound annual growth rate of 7.39% 2.
The deal gives Merck immediate access to Ogsiveo, which treats desmoid tumors and generated $172 million in 2024 sales, with analysts projecting potential annual revenue of $200-300 million by 2026 34.
