Flipkart-backed logistics firm Shadowfax files for $225m IPO

Shadowfax Technologies, a Bengaluru-based logistics company, has filed updated IPO papers with SEBI to raise up to 2,000 crore rupee (US$225.3 million).

The offering includes a fresh equity issue of 1,000 crore rupee (US$112.7 million).

It also features an offer for sale of 1,000 crore rupee (US$112.7 million) by existing investors. Participants include Flipkart, Eight Roads Investments, TPG’s NewQuest Asia Fund, Nokia Growth Partners, IFC, Mirae Asset, and Qualcomm Asia Pacific.

Snapdeal co-founders Kunal Bahl and Rohit Bansal will also sell shares.

The company plans to use 423.4 crore rupee (US$47.7 million) to expand its logistics network and 138.6 crore rupee (US$15.6 million) for lease payments related to new first-mile, last-mile, and sorting centers.

Another 88.6 crore rupee (US$10 million) will go to brand development, advertising, and communications, with the rest for potential acquisitions and general corporate purposes.

Shadowfax may also conduct a pre-IPO placement of up to 200 crore rupee (US$22.5 million).

Its network covers 14,758 pin codes across India as of September 2025.

🧠 Food for thought

Implications, context, and why it matters.

Public reports on Shadowfax’s IPO skip needed metrics

  • Coverage of the filing leaves out FY24 revenue, EBITDA margins, and net loss. That gap complicates judging a raise of up to Rs 2,000 crore when Ecom Express, an India-based e-commerce logistics company, shared figures in its Draft Red Herring Prospectus (DRHP) before its IPO 1.
  • Summaries skip unit economics like cost per delivery, contribution per parcel, and customer concentration ratios. Dependence on big accounts stays unclear. Flipkart, an Indian e-commerce marketplace, is an investor plus a listed client and a selling shareholder 23.
  • Client verticals span e-commerce, hyperlocal, and Small and Medium Enterprises (SME) logistics 3. Summaries omit segment results, so growth drivers or loss centers remain unknown while Rs 423.4 crore goes to network expansion with no stated burn rate.

Vendors can target Shadowfax’s Rs 562 crore outlay

  • Rs 423.4 crore is budgeted for first-mile centers, last-mile centers, and sorting centers plus Rs 138.6 crore for leases. Franchise sites need 500 to 600 sq ft with weighing machines, barcode scanners, and storage racks across 14,758 pin codes (India’s postal codes) 2.
  • Real estate developers or facility operators can register on Shadowfax’s vendor portal to pitch sortation leases. Warehouse Management System (WMS) or Transportation Management System (TMS) firms plus Internet of Things (IoT) equipment suppliers can contact procurement before the rollout 4.
  • Electric vehicle (EV) fleet operators or last-mile tech vendors can pitch franchise partners 2 for EVs and route planning tools. Expansion will need delivery gear that fits India’s push for cleaner logistics.
