Five SEA VC associations launch governance guide for startups

On April 16, 2025, five venture capital associations in Southeast Asia launched the “Maturation Map: Corporate Governance in Southeast Asia Private Markets.”

The guide aims to create a unified governance framework for startups in the region.

Participating associations include the Singapore Venture and Private Capital Association (SVCA), the Indonesia Venture Capital Association for Startups (Amvesindo), the Thai Venture Capital Association (TVCA), the Vietnam Private Capital Agency (VPCA), and the Malaysian Venture Capital and Private Equity Association (MVCA).

The guide addresses governance issues from early-stage startups to companies preparing for an IPO.

The Maturation Map presents a five-pillar framework focused on active diligence, technology usage, advisor ecosystems, board standards, and enforcement against misconduct.

It also provides resources like case studies and sample whistleblower policies.

This initiative responds to recent governance issues in the region’s startup ecosystem, including financial mismanagement.

🧠 Food for thought

1️⃣ High-profile governance failures catalyzed this unprecedented regional response

The launch of the Maturation Map comes after several severe governance breaches across multiple Southeast Asian markets that damaged investor confidence.

Notable cases like Zilingo, once valued at nearly $1 billion, collapsed amid governance scandals that highlighted weaknesses in oversight mechanisms within privately-funded companies1.

These failures follow a pattern where rapid growth and fundraising often outpaced the development of proper governance structures, creating conditions where financial mismanagement could go undetected.

This regional benchmark represents a proactive response from investors who recognize that governance failures affect more than individual companies, as they threaten capital formation across the entire ecosystem by eroding trust.

The collaboration of five major venture capital associations signals an industry-led approach to self-regulation that aims to prevent governance issues before they require regulatory intervention.
