Electronic Arts shareholders approve $55b sale to Saudi PIF

Electronic Arts shareholders have approved the company’s US$55 billion sale in a deal led by Saudi Arabia’s Public Investment Fund.

The deal, valued at US$210 per share, was approved in a shareholder vote on December 22.

Electronic Arts, based in Redwood City, California, is known for publishing franchises like EA SPORTS FC and Battlefield.

Saudi Arabia’s Public Investment Fund has been increasing investments in the gaming industry as part of a broader effort to diversify away from oil.

The acquisition will take Electronic Arts private after four decades as a public company.

🧠 Food for thought

Implications, context, and why it matters.

Shareholder approval is just the starting line; Committee on Foreign Investment in the United States (CFIUS) review poses the biggest hurdle

  • EA shareholders voted yes, but CFIUS must review the deal because the Public Investment Fund (PIF) would hold a majority stake, raising concerns about access to EA’s 700 million user accounts and possible AI tech transfer 1.
  • CFIUS likely requires a mandatory declaration, a short-form filing that starts review, because PIF would exceed a 25% voting interest in a business that handles sensitive personal data and works on AI technologies 2. EA collects payment, location, and communication data at a scale near social platforms 1.
  • Affinity Partners holds about 5%, and Jared Kushner leads the firm, which could give the deal a “safe harbor” from intervention 2. He served as a senior White House adviser with ties to Saudi leadership.

Cloud and localization vendors see openings in EA’s Middle East expansion

  • Tech vendors could see more investment if PIF gains control, as local servers would cut latency for Saudi Arabia’s 25.8 million gamers 3 and EA’s 2030 goal of 1 billion users needs more regional data centers 2.
  • Localization providers and cultural adaptation firms should prepare as Vision 2030 with Savvy Games Group, a PIF-backed gaming holding company, aims to incubate 250 new game companies by 2030 3.
  • Payment processors in the Middle East and North Africa could benefit as Saudi gamers buy from international stores, and EA may build payment rails to capture this spend 3.
