DuPont’s electronics arm prices $4.1b debt ahead of spinoff
DuPont de Nemours’ electronics division, soon to be called Qnity Electronics, has priced a US$4.1 billion debt deal to fund a payout to DuPont as part of its planned spinoff.
The financing includes a US$2.35 billion leveraged loan set at 2 percentage points above the benchmark rate and a discount of 99.75 cents on the dollar, along with a US$1 billion secured bond at 5.75% yield, and a US$750 million unsecured bond at 6.25% yield.
The bond portion is US$750 million smaller than earlier plans, while the loan amount increased by the same value.
Proceeds from the financing will be paid to DuPont in line with the reorganization.
DuPont plans to complete the split in November 2025, with Jon Kemp, current head of its electronics arm, set to lead the new company.
The firm is considering a sale of its Nomex and Kevlar heat-resistant fiber brands, and recently halted efforts to sell its water unit after receiving offers.

🧠 Food for thought
1️⃣ DuPont continues systematic portfolio reshaping through strategic spinoffs
This electronics spinoff represents the latest phase in DuPont’s ongoing transformation that began with the 2019 breakup of DowDuPont into three independent companies.
The chemical giant previously split into Dow (focusing on materials science with a $33.5 billion market cap), the current DuPont (specialty materials, $49.6 billion market cap), and Corteva (agriculture, $21.8 billion market cap)1.
That restructuring followed a 2017 merger between Dow Chemical and DuPont that was specifically designed to later separate into focused entities1.
This demonstrates DuPont’s commitment to creating pure-play companies that can pursue distinct strategies without resource competition across unrelated business lines.
Now with the Qnity Electronics spinoff and potential sales of Nomex and Kevlar brands, DuPont continues narrowing its focus toward its highest-value specialty materials operations.
2️⃣ Corporate spinoffs surge as companies unlock trapped value through separation
DuPont’s move aligns with broader market trends showing a 33% surge in corporate spinoff activity since 20222.
