Delivery Hero investor Prosus seeks EU waiver
Prosus, a Netherlands-based technology investor, has asked the European Union to drop a condition requiring it to reduce its stake in Delivery Hero.
The move comes as Uber negotiates a takeover of the German food delivery company.
The August 2025 clearance for Prosus’s 4.1 billion euros (US$4.78 billion) Just Eat deal required Prosus to reduce its shareholding in Delivery Hero to a very low specified percentage within 12 months.
It also barred Prosus from exercising voting rights tied to its remaining shares or appointing board representatives.
European Union competition officials described Delivery Hero as a direct competitor of Just Eat Takeaway, and said the structural link could weaken competition or enable coordination in Europe’s meal-delivery market.
Prosus has already sold 4.5% of Delivery Hero to Uber and 5% to Aspex Management, but still holds about 17%.
Delivery Hero said that Uber had offered 33 euros (US$38) per share. The European Commission has waived merger commitments before, though such waivers are rare.
