🧠 Food for thought

1️⃣ Strategic acquisitions during market distress create outsized value

Delhivery’s Ecom Express acquisition demonstrates how well-timed purchases of struggling competitors can deliver exceptional returns during market consolidation periods.

The company acquired Ecom Express for ₹1,407 crore, significantly below its intended ₹7,300 crore IPO valuation, while Ecom Express was experiencing revenue stagnation at just 2% growth and reporting net losses of ₹255 crore1.

This distressed purchase immediately expanded Delhivery’s market share by 25%, with the company retaining 50-55% of Ecom Express’s volume, exceeding initial expectations of just 30%2.

The acquisition’s impact is already visible in Delhivery’s Q1 results, where shipment volumes grew 14% year-over-year to 20.8 crore units, helping drive the 67% profit surge that pushed shares to 52-week highs.

2️⃣ Logistics sector consolidation accelerates as growth capital becomes scarce

The Delhivery-Ecom Express deal reflects broader industry consolidation as logistics companies struggle with slowing e-commerce growth and limited access to funding.

Industry analysts note that the 3PL market is experiencing widespread consolidation due to slowing e-commerce growth, with capital becoming increasingly harder to secure for smaller players1.

This environment creates acquisition opportunities for stronger companies like Delhivery, which reported stable financials with ₹8,142 crore in FY24 revenue, while competitors like Ecom Express face operational and financial challenges.
