Crypto financial services firm lists on Nasdaq at $23.50

Crypto-focused financial services firm Galaxy Digital began trading on Nasdaq under the ticker GLXY on May 16. The stock opened at US$23.50 per share.

Previously listed on the Toronto Stock Exchange since 2020, the company transitioned to Nasdaq through a direct listing.

The move followed a four-year regulatory review process with the US Securities and Exchange Commission (SEC).

CEO Mike Novogratz said the company spent over US$25 million and went through nine rounds of feedback before receiving approval.

He highlighted Galaxy’s focus on cryptocurrency and AI, adding that Nasdaq offers greater visibility compared to Canada.

🧠 Food for thought

1️⃣ Regulatory endurance becomes competitive advantage in crypto

Galaxy Digital’s four-year regulatory journey is not unusual in the evolving cryptocurrency landscape.

The SEC has established a complex framework with multiple agencies, including the SEC, CFTC, and FinCEN, each providing differing guidance on cryptocurrencies, creating a challenging regulatory environment for companies seeking public status 1.

Since 2013, U.S. regulatory scrutiny has intensified significantly, with FinCEN’s guidance on virtual currency exchanges marking an early milestone in what would become a progressively more regulated market 2.

Novogratz’s comment that “you needed to be very well capitalized… just to stay in the game” reflects a broader industry pattern where regulatory endurance has become a competitive advantage, separating well-funded entities from smaller players.

The $25 million Galaxy spent navigating nine rounds of SEC comments demonstrates how regulatory compliance costs create significant barriers to entry, potentially consolidating market power among larger players.

This follows a pattern observed across the industry where increased regulatory scrutiny has led to calls for greater transparency and governance in the crypto ecosystem following high-profile failures 3.

2️⃣ Strategic positioning beyond pure crypto play

Novogratz’s description of Galaxy as “a data center company and a crypto company” reflects a broader industry shift toward diversification beyond pure cryptocurrency operations.
