Bullish, a Gibraltar-based cryptocurrency exchange, said on May 5 it plans to buy UK-based transfer agent Equiniti in a US$4.2 billion deal that is expected to close in January 2027.
The transaction includes about US$1.85 billion in assumed debt and roughly US$2.35 billion in Bullish stock.
Bullish shares fell 7% in premarket trading.
The company said Equiniti handles about US$500 billion in annual payments and serves more than 20 million verified shareholders.

🧠 Food for thought
Implications, context, and why it matters.
The acquisition target is a diversified global business services provider
- Equiniti runs five business segments. They include EQ Boardroom for shareholder and company administration, EQ Digital for digital tools and communications, EQ Paymaster for payment services, EQ US, and Interest Income, which covers earnings on client funds 1.
- Equiniti says it serves more than 33 million shareholders, members, customers across the UK, the US, and 193 countries. That reach goes beyond 20 million verified shareholders 2.
- The purchase would face added oversight. Equiniti Financial Services Limited falls under the UK’s Markets in Financial Instruments Directive Prudential regime (MIFIDPRU), a disclosure and prudential rules framework for investment firms 3.
This deal could help connect crypto markets with mainstream issuer services
- Equiniti could give Bullish access to large retail shareholder groups. Equiniti says many share registration clients have sizable retail bases, which can support demand for customer-led products 4.
- That setup may open a customer acquisition path for Bullish. The available sources do not put a number on any effect on Bullish’s customer acquisition costs 2.
- Pairing Bullish with Equiniti’s investor relations and shareholder services could support tokenization work. Equiniti provides analysis, research, and advisory services tied to investor relations, including share register analysis 5.
- The combination may also help Bullish pursue regulated on-chain versions of traditional securities. Equiniti’s issuer-services business could serve as a link between legacy finance and blockchain-based systems.
