Coursera, Udemy to merge in $2.5b all-stock deal
Coursera and Udemy have agreed to merge in an all-stock deal, valuing the combined company at about US$2.5 billion based on December 16, 2025, closing prices.
Udemy shareholders will receive 0.8 Coursera shares for each Udemy share, a 26% premium over the 30-day average share prices.
Coursera shareholders will own around 59% of the new entity, while Udemy shareholders will hold about 41%.
The combined company is expected to have pro forma annual revenue of over US$1.5 billion.
The boards of both firms have approved the deal, which is expected to close in the second half of 2026, subject to regulatory and shareholder approval.
Greg Hart, Coursera’s CEO, will lead the merged company. It will be headquartered in Mountain View, retain the Coursera name, and keep its NYSE ticker.
