Core Scientific rises 6% after proxy adviser opposes bid

Core Scientific Inc. shares rose 6% to US$20.0 in late trading after proxy adviser Institutional Shareholder Services (ISS) said a takeover bid by CoreWeave Inc. undervalues the company.

ISS questioned whether Core Scientific Inc.’s board fully explored all alternatives, including seeking offers from financial acquirers.

The takeover bid, announced in July, valued Core Scientific Inc. at US$20.4 per share.

ISS noted that since the offer, Core Scientific Inc. shares have traded at a premium to the proposed bid.

Two Seas Capital LP, a Core Scientific Inc. shareholder, previously announced it would vote against the deal, raising concerns about the offer’s valuation, structure, and process.
